1. Acceptance of Terms

Welcome to CollectLogix, a product of Las Vegas Mushrooms, LLC, doing business as StaxxLogix ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StaxxLogix governing your access to and use of the CollectLogix platform, including our website, mobile applications, APIs, and all related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

  • "Account" means the user account you create to access the Service.
  • "Content" means any data, text, images, photographs, or other materials you upload, submit, or transmit through the Service.
  • "Collection" means a grouping of items organized within the Service.
  • "Item" means any collectible entry you create within the Service, including associated metadata, images, and valuations.
  • "Subscription" means a paid plan that provides access to premium features.
  • "AI Services" means the artificial intelligence-powered identification and valuation features.

3. Account Registration & Security

3.1 Account Creation

To use certain features of the Service, you must create an Account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Immediately notify us of any unauthorized access to your Account
  • Accept responsibility for all activities that occur under your Account

3.2 Password Requirements

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE SECURITY OF YOUR ACCOUNT CREDENTIALS. We strongly recommend and may require:

  • Passwords of at least 12 characters containing uppercase, lowercase, numbers, and symbols
  • Unique passwords not used on any other service or website
  • Regular password updates (at least every 90 days)
  • Enabling Multi-Factor Authentication (MFA) as described below

STAXXLOGIX SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR UNAUTHORIZED ACCESS RESULTING FROM WEAK, COMPROMISED, REUSED, OR EASILY GUESSABLE PASSWORDS. Users who choose weak passwords do so at their own risk.

3.3 Multi-Factor Authentication (MFA)

WE STRONGLY RECOMMEND ENABLING MULTI-FACTOR AUTHENTICATION. MFA adds a critical layer of security to your Account. By choosing not to enable MFA when it is available, you:

  • Acknowledge the increased security risk to your Account
  • Accept sole responsibility for any unauthorized access that could have been prevented by MFA
  • Waive any claims against StaxxLogix related to Account compromise that MFA would have prevented
  • Agree that StaxxLogix bears no liability for losses resulting from your decision not to use MFA

3.4 Account Security Acknowledgment

BY USING THE SERVICE, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT:

  • You are solely responsible for the security of your Account
  • StaxxLogix provides security features (MFA, session management) that you may choose to use
  • Failure to use available security features constitutes assumption of risk
  • StaxxLogix shall not be liable for any damages arising from Account compromise due to user negligence
  • Sharing your credentials with others voids any warranty or protection we may offer

4. User Responsibilities

4.1 Accurate Information

You are responsible for the accuracy and completeness of all information you provide to the Service. We are not responsible for any errors, inaccuracies, or omissions in your data. The Service should not be relied upon as the sole record of your collection for insurance, tax, or legal purposes without independent verification.

4.2 Data Backup

YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR DATA. While we implement reasonable backup procedures, we do not guarantee that your data can be recovered in all circumstances. We strongly recommend:

  • Regularly exporting your collection data
  • Maintaining independent records of high-value items
  • Keeping copies of important images and documents outside the Service

StaxxLogix shall not be liable for any data loss resulting from system failures, user error, Account termination, or any other cause.

4.3 Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Service. This includes, but is not limited to, laws regarding collectibles, taxes, import/export, and intellectual property.

4.4 Assumption of Risk

Collecting valuable items involves inherent risks. You acknowledge that:

  • Market values fluctuate and are not guaranteed
  • AI identifications are estimations, not certifications
  • Third-party pricing data may be inaccurate or outdated
  • The Service does not replace professional appraisals
  • Investment decisions should not be based solely on Service data

5. Security Obligations

5.1 Device Security

YOU ARE RESPONSIBLE FOR THE SECURITY OF DEVICES USED TO ACCESS THE SERVICE. This includes:

  • Keeping operating systems and apps updated
  • Using antivirus/anti-malware software
  • Enabling device-level security (PIN, biometrics, encryption)
  • Not accessing the Service on jailbroken or rooted devices
  • Logging out when using shared or public devices

StaxxLogix assumes no liability for breaches originating from compromised, unsecured, or malware-infected devices.

5.2 Network Security

You should avoid accessing the Service on unsecured public Wi-Fi networks. When using public networks, we recommend using a VPN. StaxxLogix is not responsible for data interception resulting from use of unsecured networks.

5.3 Session Management

You are responsible for managing your active sessions. The Service provides tools to view and terminate active sessions. Failure to properly log out of sessions, especially on shared devices, is your responsibility.

5.4 Reporting Security Issues

You must immediately report any suspected security breach, unauthorized access, or vulnerability to security@collectlogix.com. Failure to promptly report security issues may affect our ability to protect your Account and may limit any remedies available to you.

6. Service Description

6.1 Features

CollectLogix provides a platform for managing collectibles, including:

  • Collection and item management
  • Image storage and organization
  • AI-powered identification (subject to accuracy limitations)
  • Pricing data from third-party sources (not guaranteed accurate)
  • Reporting and analytics tools
  • Mobile applications
  • API access (for applicable subscription tiers)

6.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will attempt to provide advance notice)
  • Emergency maintenance or security updates
  • Third-party service outages
  • Force majeure events
  • Factors beyond our reasonable control

WE DO NOT GUARANTEE ANY SPECIFIC UPTIME OR AVAILABILITY.

6.3 Third-Party Services

The Service integrates with third-party services (PCGS, PSA, TCGPlayer, Metals-API, etc.). We do not control these services and are not responsible for their availability, accuracy, or performance. Third-party terms of service may apply.

7. Subscriptions & Payments

7.1 Subscription Plans

We offer various subscription plans with different features and limits. Current plans and pricing are available at collectlogix.com/pricing. We reserve the right to modify plans and pricing at any time with reasonable notice.

7.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for keeping your payment information current.

7.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods except as required by law or as set forth in our refund policy.

7.4 Refund Policy

New subscribers may request a full refund within 30 days of initial purchase. After 30 days, subscriptions are non-refundable. Refunds are not available for:

  • Accounts terminated for Terms violations
  • Unused AI identification credits
  • Partial billing periods
  • Subscription downgrades

7.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your subscription may be suspended or terminated. You remain responsible for any unpaid amounts.

8. Data & Content

8.1 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant StaxxLogix a worldwide, non-exclusive, royalty-free license to use, store, process, and display your Content solely for the purpose of providing the Service.

8.2 Content Restrictions

You may not upload Content that:

  • Infringes any intellectual property rights
  • Contains malware, viruses, or harmful code
  • Is illegal, fraudulent, or deceptive
  • Violates the privacy of others
  • Is obscene, defamatory, or harassing

8.3 Data Retention

Upon Account termination, we may retain your data for a limited period for legal compliance and backup purposes. After this period, your data may be permanently deleted. You should export your data before canceling your Account.

8.4 Data Processing

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

9. AI Identification Services

9.1 AI Limitations

THE AI IDENTIFICATION SERVICES ARE PROVIDED AS ESTIMATIONS ONLY AND ARE NOT GUARANTEES OF AUTHENTICITY, GRADE, OR VALUE. You acknowledge that:

  • AI identifications may contain errors
  • Confidence scores indicate probability, not certainty
  • AI cannot detect all counterfeits or alterations
  • AI valuations are estimates based on available data
  • Professional authentication should be sought for valuable items

9.2 No Certification

AI IDENTIFICATIONS ARE NOT CERTIFICATIONS AND SHOULD NOT BE REPRESENTED AS SUCH. Only authorized grading services (PCGS, NGC, PSA, etc.) can provide official certifications. Relying solely on AI identification for purchase, sale, or insurance decisions is done at your own risk.

9.3 Usage Limits

AI identification usage is subject to the limits of your subscription plan. Unused credits do not roll over between billing periods. We reserve the right to modify AI features and limits.

10. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without authorization
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization
  • Use the Service to facilitate fraud or money laundering
  • Misrepresent AI identifications as official certifications
  • Exceed your subscription's usage limits through circumvention
  • Violate the rights of other users or third parties

11. Disclaimers & Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAXXLOGIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from Account compromise due to weak passwords, lack of MFA, or user negligence
  • Any damages arising from reliance on AI identifications or third-party pricing data
  • Any damages resulting from unauthorized access to your Account
  • Any damages exceeding the amount paid by you to StaxxLogix in the twelve (12) months preceding the claim

11.3 Acknowledgment of Risk

You expressly acknowledge and agree that StaxxLogix shall not be responsible or liable for any damages or losses arising from:

  • Your failure to implement recommended security measures
  • Use of weak, reused, or compromised passwords
  • Failure to enable Multi-Factor Authentication
  • Sharing of Account credentials
  • Use of unsecured devices or networks
  • Phishing attacks or social engineering
  • Your own negligence or misconduct

11.4 Essential Purpose

The limitations of liability in this Section shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS STAXXLOGIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS FROM AND AGAINST ALL CLAIMS, LOSSES, LIABILITIES, EXPENSES, DAMAGES, AND COSTS, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM OR RELATING TO:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content
  • Your failure to maintain adequate Account security
  • Any misuse of your Account
  • Any claims arising from your representations of AI identifications as official certifications

13. Termination

13.1 Termination by You

You may terminate your Account at any time through your account settings or by contacting support. Upon termination, your right to use the Service ceases immediately.

13.2 Termination by Us

We may suspend or terminate your Account immediately, without notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your payment method fails repeatedly
  • We are required to do so by law
  • We believe your Account has been compromised
  • You abuse the Service or other users

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Your data may be deleted after a retention period
  • No refunds will be provided for unused subscription time (except as required by law)
  • These Terms continue to apply to your past use of the Service
  • Sections 11, 12, and 14 survive termination

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

14.2 Arbitration Agreement

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Las Vegas, Nevada, or remotely at the arbitrator's discretion.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions against StaxxLogix.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or other urgent matters.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to registered users
  • Displaying a notice within the Service

Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and terminate your Account.

Acknowledgment: By using CollectLogix, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You further acknowledge that these Terms constitute the complete and exclusive statement of the agreement between you and Las Vegas Mushrooms, LLC (d/b/a StaxxLogix) and that they supersede any prior agreements or understandings, whether written or oral.
